Conditions of Sale
Goods and alcoholic beverages are sold on the following terms and conditions:
1. Risk of loss of the goods and alcoholic beverages will pass to the buyer on delivery.
2. If no credit facilities have been arranged, payment for the goods and alcoholic beverages must be made upon delivery.
3. If credit facilities have been arranged, payment for the goods and alcoholic beverages must be made within 30 days from the end of the month of invoice, unless otherwise stipulated.
4. Prices are subject to change without notice and goods and alcoholic beverages will be sold at the prices applicable on the date of delivery.
5. The buyer may claim a full credit for any shortages or damage to the goods and alcoholic beverages caused by the seller or a carrier arranged by the seller. All claims must be made within 7 days of receipt of the goods and alcoholic beverages.
6. The buyer has the right to return for a full credit goods and alcoholic beverages which the buyer and the seller agree are unsaleable (or likely to become unsaleable), provided that the goods and alcoholic beverages have not become unsaleable as a result of an insurable occurrence or an act or omission of the buyer.
7. To the extent of any inconsistency, these terms and conditions will prevail over any other term or condition the buyer may seek to include, and the buyer's receipt of the goods and alcoholic beverages is confirmation that the buyer has accepted these terms and conditions.
8. Property in goods and alcoholic beverages does not pass to the buyer until the buyer has paid the purchase price of the goods and alcoholic beverages in full and there is no buyer's debt in relation to the goods and alcoholic beverages outstanding to the seller.
9. If:
(a) the buyer fails to pay the buyer's debt to the seller as and when due and payable or otherwise fails to comply with its obligations under these Conditions of Sale;
(b) a receiver, receiver and manager, liquidator, provisional liquidator or official manager,
administrator, controller or trustee in bankruptcy is appointed over all or any of the assets of the buyer or a scheme of arrangement is proposed or approved in respect to the buyer; or
(c) a petition is presented for the winding of or bankruptcy of the buyer;
the seller may at its option exercise all or any of the following rights (not withstanding any prior failure to exercise such rights):
(A) demand payment of the whole of the buyer's debt then outstanding and the buyer agrees to pay the same immediately;
(B) take possession of all goods and alcoholic beverages title to which has not passed to the buyer (and for that purpose the buyer authorises the seller to enter any premises where the goods and alcoholic beverages may be situated and to take possession of them); and/or
(C) with or without taking possession of the goods and alcoholic beverages, sell the goods and alcoholic beverages by public auction or by private treaty by retail or wholesale for cash or on terms and generally as the seller thinks fit and apply the proceeds actually received by the seller after defraying expenses of sale and enforcement towards reduction of the buyer's debt.
10. The Customer warrants that at the time of delivery of all alcoholic beverages, the Customer has the requisite liquor licence as required under the liquor laws in the relevant State or Territory.
